Dave SandersonWe mourn the loss of one of our own, Dave Sanderson, and express our regrets and sorrow to his family and friends. Dave was the managing shareholder in the Phoenix office for much of the past decade and brought to our firm an encyclopedic knowledge of the law (as well as lighter topics like baseball, photography, and history), along with compassionate leadership. He was instrumental in the development of timeshare law both in Arizona and nationwide and maintained a significant real estate and lending practice. Dave had a wonderful ability to analyze complex situations, develop solutions and provide guidance, all with a smile and pleasant personality. Dave was always a true gentleman. We greatly appreciate having had the opportunity to share part of our lives with Dave and will carry his positive attitude with us always.

David V. SandersonDAVID V. SANDERSON is a Shareholder and has practiced in Phoenix for over 25 years. He handles a broad range of real estate, finance, and business matters including: real estate development; hotel, resort, condominium, timeshare, and restaurant development, operations and finance; real estate and commercial lending; real estate loan workouts and foreclosures; business entity formation and documentation, and zoning and land use approvals. Mr. Sanderson primarily represents developers, lenders and other real estate entities.

Mr. Sanderson’s practice has included:

  • Developer representation in preparing or revising the acquisition, project, and consumer sales and finance documents and regulatory registration for over 30 timeshare resorts developed by 10 different developers in Arizona, California, Nevada, and Texas over the past 20 years.
  • Developer representation in commercial and residential condominium development and conversion of over 20 projects in Arizona in the past two years.
  • Developer representation in preparing residential and commercial subdivision documentation, such as easements and covenants, conditions, and restrictions.
  • Lender representation in documenting and closing over 50 real estate acquisition, development, construction, term, and permanent loans, timeshare acquisition, development, and receivables loans, commercial loan and timeshare receivables backed securitizations, and loan modifications and workouts for loans up to $100,000,000.
  • Developer representation in documenting and closing, and preparing opinion letters related to, over 100 real estate acquisition, development, construction, term, and permanent loans, timeshare acquisition, development, and receivables loans, commercial loan and timeshare receivables backed securitizations, and loan modifications and workouts for loans up to $200,000,000.
  • Lender and borrower representation in trustee sales, judicial foreclosures and contract forfeitures of residential and commercial loans.
  • Formation, documentation, and revision of organizational documents and CC&Rs for timeshare, condominium, and residential subdivision owners associations.
  • Trustees sale and judicial foreclosure of timeshare, condominium, and residential subdivision owners association assessment liens.
  • Enforcement and defense of timeshare, condominium, and residential subdivision CC&Rs and rules and regulations.
  • Lender and borrower representation in residential, commercial, and timeshare loan workouts, deeds in lieu of foreclosure, short sales, consumer credit regulatory non-compliance claims, and Fair Debt Collection Practices Act violation claims.
  • Formation and documentation of corporations, partnerships, limited liability companies, and owners associations, including formation of single asset special purpose entities.
    Representation of landlords and tenants in residential and commercial lease negotiations and documentation.
  • Representation of hotel, timeshare, and restaurant operators in a variety of hospitality law matters.
  • Developer representation in over 100 zoning, subdivision, variance, site plan approval, and abandonment cases.
  • Representation of contractors and consumers in negotiation, preparation and review of construction contracts, contractor licensing, mechanic’s lien preparation, foreclosure and defense and Registrar of Contractor complaints, defense and hearings.

He received his B.A., with honors, from California State University Fullerton in 1973, and his J.D., cum laude, from Brigham Young University in 1976. He was an Associate Editor of the Brigham Young University Law Review and a State Farm Scholar.

Mr. Sanderson has taught continuing professional education seminars on real estate, real estate lending, foreclosures and workouts and real estate development topics. He is a member of the American Bar Association, State Bar of Arizona and Maricopa County Bar Association, their Real Property and Business Law sections, and the American Resort Development Association. Mr. Sanderson is a former attorney of the month and attorney of the year of the Maricopa County Volunteer Lawyers Program and State Bar of Arizona Top 50 Pro Bono Attorney award winner.
